Partner Programme Agreement

This agreement applies to applicants and approved participants in the PopUpCircle Partner Referral Programme. The programme is operated by Circle Centrix Limited, trading as The Pop Up Circle.
1. Approval and eligibility
Participation is subject to written approval. You must provide accurate information, be at least 18, maintain an active account and complete any identity, tax or Stripe verification we reasonably require.
2. Responsible promotion
- Identify your commercial relationship with PopUpCircle where the law or platform rules require it.
- Use accurate, current claims and approved materials.
- Do not use spam, misleading incentives, impersonation, paid search on protected brand terms, cookie stuffing or self-referrals.
- Do not promise that a business will be approved or that commission is guaranteed.
3. Attribution and qualification
Our records determine attribution using time-limited link evidence, verified account and business activity, and reviewed manual evidence. One partner can hold the live claim for a business. We may reject, expire or override a claim where evidence conflicts, fraud is suspected or programme rules were not followed.
4. Commission
The active rule shown in the programme records determines whether commission is recognised. Commission may be held for review, rejected, adjusted or reversed for duplicate attribution, refunds, fraud, error, breach or a reversed transfer. Dashboard figures are operational records and may change until approved.
5. Payment and tax
Approved commission is paid in the configured settlement currency through Stripe Connect after verification, payment thresholds and review controls are satisfied. You are responsible for your own taxes and for providing accurate payment and tax information. Where a separate self-billing arrangement is used, it will be documented and accepted separately.
6. Records and confidentiality
Keep reasonable evidence supporting your referrals. Do not disclose confidential information or use personal data except lawfully and only for the agreed purpose. Our Privacy Policy explains how we handle personal information.
7. Suspension and termination
Either party may end participation. We may pause links, attribution or payments while investigating risk, legal or compliance concerns. Ending participation does not remove valid adjustments, clawbacks, confidentiality duties or outstanding payment obligations.
8. Liability and changes
The programme is provided subject to applicable law. We may update programme rules prospectively and will record the version accepted. Nothing excludes liability that cannot legally be excluded.
9. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, subject to any mandatory rights that apply.
